GENERAL TERMS AND CONDITIONS OF SALE

1. IDENTIFICATION OF THE SELLER
These General Terms and Conditions (“GTC”) are those of GIVENCHY ITALIA SRL, an Italian company, whose registered office is at in Bagno a Ripoli (FI), Via Di Vacciano no. 6, registration number with the Companies Register of FI-617529 and tax code no. 06305170489, VAT number 06305170489 (“GIVENCHY”).
2. SCOPE AND ACCEPTANCE OF THE GTC
These GTC apply to all sales of GIVENCHY products (the “Product(s)”) made in the Boutiques and/or temporary points of sales operated by GIVENCHY in Italy, except department stores (the “Boutiques”) and govern the relationship between GIVENCHY on the one hand, and its clients (the “Clients”) on the other hand.
Clients are exclusively end customers, natural person, buying for their own use or for a gift, excluding any professional activity and in particular any resellers or intermediaries acting in the name and on behalf of resellers.
3. TERMS OF THE ORDER TAKING, MODIFICATION AND RETURN
Upon the completion of the purchase by the Client, the sale shall be considered as binding and definitive and implies a complete and unconditional acceptance of the GTC.
The essential features of the Products and their prices are the subject of specific labelling or display and are available on the GIVENCHY website: https://www.givenchy.com/
Subject to the following, GIVENCHY agrees to exchange or give credit note for Products purchased in GIVENCHY’s Boutiques within thirty (30) days of delivery/collect and upon presentation of the original invoice and an original valid identity document (identity card or passport) with a photograph of the Client.
Any returned Product must be genuine, with receipt, brand new, returned in its original conditions, unworn, not used nor damaged, with the original label attached to the Product and in its original packaging, accompanied by all accessories (including, where applicable, warranties, instruction booklets and certificates). As regards shoes, the sole must also be intact: it is strongly recommended that GIVENCHY shoes be tried on a carpet or rug. Products that are sealed (e.g. swimwear, perfume, underwear) but have been unsealed after delivery cannot be returned for reasons of hygiene and/or health protection.
No returns are possible in the case of refunded tax-free Products.
The personalized, touched up or customized Products cannot be returned, exchanged, reimbursed or being subject of a credit note.
Furthermore, in the case of a gift, the right of return remains to the exclusive benefit of the Client and cannot under any circumstances be exercised by the recipient of the gift. Products purchased in a Boutique other than an outlet, may only be returned or exchanged to one of the GIVENCHY Boutiques other than an outlet. Products purchased in an outlet Boutique can only be returned or exchanged in a GIVENCHY outlet Boutique. If a credit note is issued, it is nominative and is valid for one (1) year in the Boutiques others than outlet, if the initial Product was purchased in a Boutique other than an outlet. If the initial Product was purchased in an outlet Boutique, the credit note is valid for one (1) year in outlet Boutiques.
In the case of an exchange (subject to availability of Products): if the Product chosen as a replacement has a higher value than the Product returned, the difference in price will be charged to the Client; if it has a lower value, the difference will be the subject of a credit note in the Client’s name, valid for one (1) year, in the Boutiques in accordance with the principles set out above. GIVENCHY reserves the right to refuse to exchange a Product after two (2) successive exchanges.
4. PRICE & ACCEPTED METHOD OF PAYMENT
Prices indicated are in euros and include all taxes (TTC) applicable on the day of purchase.
The amount of the purchase must be paid in full upon delivery of the Product or, if applicable, before its delivery. The Client shall be solely responsible for the payment of any bank or financial costs incurred by it in relation to its purchase.
The terms of payment, at Client’s choice, are the followings:
- in cash or by electronic money (Alipay, WeChat, etc.): capped at €4,999.99 for Italian tax residents and €14,999.99 for foreign tax residents. This limit is assessed over a period of seven (7) consecutive days from the day following the first payment in cash or electronic money, considering all purchases made in all Boutiques as well as in department store corners;
- by credit card (CB, American Express, Visa, Amex, Mastercard, JCB, CUP, Maestro, Diners);
- by bank transfer: provided that the bank account used is validated by GIVENCHY and corresponds to the Client's identity - the Products will only be delivered to the Client once the bank transfer has been received and validated by GIVENCHY.
- by GIVENCHY credit note
Payments by cheque are not accepted.
Payment for a transaction combining several payment methods is refused (i) when it involves a payment in cash or electronic money and (ii) when the amount of the transaction exceeds the thresholds indicated above. In the event of payment using both cash and electronic money, a single cap of €4,999.99 for Italian tax residents and €14,999.99 for foreign tax residents will apply.
For all payments, an original valid identity document (identity card or passport) with a photograph may be requested, in particular for the purposes of verifying the Client's identity. Receipts and invoices will be issued in the name of the Client who has made the payment.
An original passport will be required for all tax-free requests. For all transactions paid for by credit card, the refund of the tax will be made to the bank card used to make the purchase.
5. TOUCH-UPS
For all purchases made in the Boutiques of GIVENCHY, except outlets Boutiques, the Client can benefit from the free touch-ups service (excluding sale periods), within two (2) months following the purchase of the Product, provided that the touch-ups requested do not alter the style or line of the Product, as determined by GIVENCHY.
6. CUSTOMIZED PRODUCTS
As part of the GIVENCHY’s personalization/customization services, the Client may choose from a selection of eligible Products for personalization/customization within the limits of the characters offered.
The Client may choose the personalization/customization elements but this subject to (i) the rights of third parties, including in particular intellectual property rights (ii) the luxury and prestigious image of the Products and the GIVENCHY brand and (iii) of the public and morale.
Where the customization elements or any of them infringe the rights of a third party or do not reflect GIVENCHY’s brand image or contrary to the public order, GIVENCHY reserves the right to refuse the Client’s customized order with no right of claim from the Client.
To take the order, GIVENCHY will issue a purchase order form subject to the GTC (the “POF”) to indicate its acceptance of the Client’s personalization/customization order. Once the POF as been dated and signed by the Client, the POF will be handed to GIVENCHY’s Boutique sales assistant. The POF will specify the customization elements selected by the Client among the elements proposed by GIVENCHY.
The Client will be informed at the time of payment of the indicative timeframe for the personalized Product to be made available (or delivered according to the methods proposed at the discretion of the Boutique concerned). The Client will then be informed by email and/or SMS (depending on the type of contact details provided by the Client) when the personalized Product is ready to be collected. No collection of a personalized Product can be made without the presentation of (i) the POF duly signed by the Client and GIVENCHY, dated the day the GIVENCHY Product was handed in the Boutique, and (ii) an original valid identity document (identity card or passport) with a photograph.
7. RETENTION OF TITLE
The Product ordered remain the full and whole property of GIVENCHY until complete payment of the amount to GIVENCHY in principal, with fees and taxes and compulsory contribution included.
Notwithstanding the foregoing, the transfer of risks relating to the Products (in particular loss, theft or deterioration) occurs at the time of the Product receipt by the Client (or any other person designated by the Client).
8. PRODUCT PICK UP/DELIVERY
The Product will be delivered to the Client upon full payment of the price in the Boutique.
Nevertheless, in cases where the Boutique offers this option, the Client (or any other person designated by the Client) may be delivered to the address duly specified by the Client.
Delivery fees will be provided to the Client prior to the validation of his/her purchase and the delivery date will be communicated by the Boutique.
A delay in delivery will not give rise to any right to compensation to the Client if this delay is the result of an event of force majeure, an act of God, the act of a third party or the act of the Client.
9. AVAILABILITY AND RESERVE
Sales are processed within the limits of GIVENCHY’s available stocks and/or materials.
To ensure greater availability of the Products, GIVENCHY limits the quantity of Products that may be purchased in Boutiques (except outlets) by a Client in any semester period to:
- Ready-to-wear: four (4) identical items (same color and size) purchased, with the exception of the following items: shirts, jeans, trousers, which are not subject to limits,
- Leather goods (bags): three (3) identical items purchased (same color and size),
- Other items (shoes, accessories): two (2) identical items purchased (same color and size).
For outlet Boutiques, GIVENCHY reserves the right to refuse any transactions with a total value exceeding €10,000.
GIVENCHY will have the right to refuse any purchase made by a Client with whom there is a dispute relating to the payment of a previous order or to a purchase which does not comply with these GTC.
10. INTELLECTUAL PROPERTY
GIVENCHY remains the exclusive owner of all its intellectual property rights on the Product. These GTC do not imply any transfer of the aforesaid rights to the benefit of the Client on the Product.
Any total or partial reproduction, modification or use of the intellectual property rights of GIVENCHY for any reason and on any medium whatsoever, without the express prior written consent of GIVENCHY is strictly prohibited.
11. WARRANTIES
All Products sold by GIVENCHY is subject to the conditions of legal warranties provided for by Articles 128 et seq. of the Italian Consumer Code, excluding all other warranties:
Legal warranty of conformity:
GIVENCHY will deliver a Product compliant with the GTC and free from nonconformity, in the sense that the Product will be fit for the purpose pursuant to the GTC. The Client benefits from the legal warranty of conformity within a period of two (2) years from the date of delivery of the Product. The Client is exempted to prove nonconformity was present at the date of delivery of the Product, if nonconformity appears within 6 (six) months from the date of delivery of the Product.
The Client may choose between a repair or a replacement of the Product unless one of these choices results in a cost that is disproportionately high for GIVENCHY. If a repair or a replacement of the Product is not possible, the Client has the choice between the termination of the sale (with return of the Product) or a reduction in the Product’s price.
The return, replacement or reimbursement of the Product shall be carried out at no cost to the Client and shall not prevent any awarding of damages in the event that the Client may be entitled thereto. The legal warranty of conformity applies irrespectively of the commercial warranty that may have been granted.
Legal warranty against latent defects:
GIVENCHY will deliver a Product free of defects that would render it unfit for the use for which it is intended, or that would diminish this use to such an extent that the Client would not have purchased the Product, or would have purchased it at a lesser price, if he/she had been aware of them. The Client benefits from the legal warranty against defects if the defect appears within a period of 2 (two) years from the date of delivery of the Product. The Client has to notify the defect to GIVENCHY within 2 (two) months from date of discovery of defect. Failing to do so in such delay, the Client will loose her/his rights.
The Client has the choice between the termination of the sale (with return of the Product) or the reduction in the Product’s price.
In all cases, it will be the Client’s responsibility to prove that it meets the conditions of the warranty.
Process
In the event of nonconformity and defects, the Client must contact the customer service of GIVENCHY so that the latter may organize the terms of return of the Product concerned.
Exception
Excluded from these legal guarantees are damages resulting from the following events: accidents, improper handling or use of the Products by the Client or improper use of the Products (knocks, blows, crushing, abrasions, etc.), direct and prolonged exposure to UV rays or high temperatures, modification or repair not authorized or not carried out by GIVENCHY, normal wear and tear and ageing, loss or theft.
12. PRIVACY & PERSONAL DATA
In connection with the sale of Products under the GTC, GIVENCHY collects and processes personal data relating to the Client and any potential Client.
GIVENCHY ITALIA SRL is the Data Controller in relation to this personal data.
This information is necessary for the processing and follow up of Client or prospect’s requests or orders, in order to better respond to his/her expectations and offer him/her the best client experience possible.

13. FORCE MAJEURE
The performance by GIVENCHY of all or part of its obligations will be suspended in the event of a fortuitous event or a case of force majeure as defined under Italian laws, which would hamper or delay its performance. GIVENCHY will inform the Client of such a fortuitous event or case of force majeure within seven (7) calendar days of its occurrence. Should this suspension continue beyond a period of seven (7) calendar days, and no alternative solution with GIVENCHY could be found, the Client would then have the option to cancel the order in progress and the Client would then be refunded as soon as reasonably possible.
14. LIMITATION OF RESPONSIBILITY
In no event shall GIVENCHY be liable for any damages that are not a result of GIVENCHY failing to fulfill one of its obligations.
15. INFORMATION/ CLAIM
For any request on an purchase made in a Boutique which is not an outlet, the Client can contact the customer service to the following contact details: 00 800 0000 1952 (free number for any call from Italy); e-mail: contact@givenchy.com.
Our customer service team is at the Client’s disposal from Monday to Saturday, from 10am to 7pm (Paris time) and answers any inquiries in Italian and English.
For any request on a purchase made in a Boutique which is an outlet, the Client can contact using the phone number mentioned on the receipt.
16. AMENDMENT OF THE GTC
GIVENCHY reserves the right to modify and update the GTC without prior notice. In order to be informed of these possible modifications, GIVENCHY advises the Client, and in general any user, to regularly reread the GTC accessible in the Boutiques.
The purchase of Products will be subject to the GTC in force at the time of purchase.
If these GTC remain accessible to the public after their replacement, they will nevertheless no longer be enforceable against GIVENCHY.
17. APPLICABLE LAW & DISPUTES
These GTC shall be governed and interpreted in accordance with Italian law. In the event of a dispute arising from the application and/or interpretation of these GTC, the Client has the option, before any legal action, to seek an amicable solution with GIVENCHY.
Any disputes to which these conditions may give rise shall be submitted to the jurisdiction of the Italian competent courts, in accordance with the rules of common law.
