GENERAL TERMS AND CONDITIONS OF SALE – givenchy/global-E

The use of the distance selling process described in these General Terms and Conditions of Sale is reserved solely for consumers (i) as defined by applicable laws and regulations, and (ii) acting exclusively on their own behalf.

GIVENCHY, a Société Anonyme with a share capital of €3,000,000, whose registered office is located at 3, avenue George V, 75008 Paris, France, registered with the Trade and Companies Register (RCS) under the number 552 051 229 RCS Paris, whose SIRET number is 552 051 229 00011 and intra-community VAT number is FR 46 552 051 229 (hereinafter referred to as "GIVENCHY"), manufactures and markets luxury ready-to-wear products, accessories and leather goods for men and women (hereinafter referred to as the "Products") directly and indirectly all over the world through a network of boutiques and an online shop that is accessible at the following address: https://www.givenchy.com (hereinafter referred to as the "Website").

GLOBAL-E FRANCE SAS, registered with the Trade and Companies Register (RCS) under the number 818 358 459 RCS Paris, with registered office located at 320, rue Saint-Honoré, 75001 Paris, France (hereinafter referred to as "Global-e", "we", "our" or "us") is GIVENCHY’s sales facilitation and e-commerce partner. Therefore, GIVENCHY has an agreement with Global-e allowing Global-e to act as the merchant of record, in Global-e’s name and on behalf of GIVENCHY to make the Products available to you on the Website for purchase through the checkout.

By placing your order to purchase one or more Products (hereinafter referred to as an "Order"), you confirm that you have read and understood these General Terms and Conditions of Sale and the Privacy and Cookies Policy of Global-e (Privacy Policy - Global-e) as well as the Privacy Policy and the General Terms and Conditions of Use of GIVENCHY available on the Website, and you agree to be bound by them (hereinafter collectively referred to as the “Terms”). These Terms define your legal relationship regarding the checkout, the placement of Orders, and the purchase of Products underlying such Orders.

If you do not agree to the Terms, please do not complete your Order.

These Terms are written in, and governed by, the English language. Any translations are provided for convenience only, unless otherwise required by applicable law.  

If you are a consumer (as defined by applicable law) residing in Australia, Brazil, Canada, European Economic Area (EEA) countries or the United Kingdom, please refer to Annex I below for additional specific terms which may apply to your Order.

1. PLACING YOUR ORDER

Orders may be placed via the Website either (i) by you or (ii) by you with the assistance of the customer service department set up by GIVENCHY, accessible (i) by email at contact@givenchy.com or (ii) via the "Send a message" contact form in the "Contact us" section of the Website (hereinafter referred to as the "GIVENCHY Customer Service").

    1. Product Selection

At any time, you may add Products to your selection by clicking "Add to bag" and choose to complete your purchases or continue browsing.

You can view your selection by hovering over or clicking on "Your bag" in the top right-hand menu, where the following information will appear: the photo(s) of the Product(s), its colours and model(s), the quantity(ies) chosen, its unit price(s) and the subtotal of the selection. You may freely modify your bag of selected Products online, delete a Product initially selected, modify the quantities ordered or add a Product by clicking on the corresponding items available in the basket.

You agree to always provide valid, current and true information about yourself. Please review your details and the Order details carefully, the checkout process allows you to identify and correct any input errors before submission of the Order.  

You confirm that you are purchasing the Products for your personal use and not to resell, distribute or any other commercial purpose. You also confirm that you are of legal age and mental capacity to enter into an agreement where you live.

    1. Customer logins

After selecting the Product(s), you may click on "Checkout" to begin the ordering process.

Order via a customer account

If you already have a customer account, you must log in at this stage by entering your email address and password.

If you do not yet have an account, you will be asked to create one by entering your title, surname, first name, email address and creating a password. For the mobile version of the Website, you will be asked to enter this information when logging in.

Usernames and passwords are strictly personal. Consequently, you agree to keep them secure and never disclose them to third parties. GIVENCHY or Global-e shall not be held liable for any loss, theft or fraudulent use of your customer account. In such cases, you agree to inform GIVENCHY or Global-e immediately.

Creating an account allows you to:

  • track deliveries and view Order history;
  • return or exchange Products;
  • add or modify delivery and billing addresses for future Orders;
  • manage subscriptions to the GIVENCHY newsletter;
  • download invoices related to your Orders.

If you have a customer account, you may deactivate your account at any time by sending an email to GIVENCHY Customer Service, whose contact details are provided in Article 1 above. After deactivating your account, you are free to create a new account at any time.

Order without a customer account, as a guest

You may also check out as a guest without creating an account. Only your title, first name, surname, email address and the information necessary to fulfil the Order are mandatory data for the Order to be processed. No customer account will be created, and all customer details will need to be re-entered for future Orders.

1.3. Selection of delivery method

You must first select the shipping method from among those offered in these Terms, and then fill in the delivery information required for the Order to be shipped correctly: title, first name, surname, telephone number and delivery address.

You may use your delivery address as your billing address or enter a different one.

When confirming the shipping method, you may, for a gift order, include a personalized message with your Order.

2. PRODUCT INFORMATION AND AVAILABILITY

Information relating to all GIVENCHY Products is available on the Website.

The visuals of the Products appearing on the Website may be altered depending on the quality of the hardware you use to access the Website. In this case, GIVENCHY or Global-e cannot be held liable. It is specified that you may still exercise your right of withdrawal in accordance with the conditions described in these Terms.

Product offers and prices are valid as long as they are visible on the Website, while stocks last. Errors or changes in stock display may exceptionally occur, particularly in the case of simultaneous Orders for the same Product by several customers.

In the event of total or partial unavailability of Products after placing an Order, you will be informed by email as soon as possible of the unavailability of the Product and the total or partial cancellation of your Order. You will be reimbursed as soon as possible and no later than fourteen (14) days after the cancellation of your Order. You will be delivered the available Products.

GIVENCHY reserves the right to change the Products offered on the Website at any time and without prior notice.

In order to ensure better service quality and availability of its Products to all customers, GIVENCHY reserves the right to limit the quantity of Products that you can purchase, in accordance with applicable laws and regulations in this regard. In particular, GIVENCHY limits the quantity of Products that you may purchase on the Website during a six-month period to:

  • Ready-to-wear: four (4) identical items (same colour and size), purchased, with the exception of the following items: shirts, jeans, trousers, which are not subject to restrictions;
  • Leather goods (bags): three (3) identical products purchased (same colour and size);
  • Other items (shoes, accessories): two (2) identical products purchased (same colour and size).

3. ORDER CONFIRMATION

The checkout displays the Products, their prices, delivery/shipping costs (if any), and applicable import duties, taxes and charges which may be imposed in relation to the clearance of the Order into the delivery destination (hereinafter collectively referred to as theDuties & Taxes”). Duties & Taxes amounts may not always be available for pre-payment, so please check Article 5 below for more information.

We offer you the option to purchase the Product in your local or chosen currency. Please note that due to exchange rate fluctuation, prices may change from time to time, however the total Order amount as presented on checkout when completing your Order will not be affected by such exchange rate fluctuation.

The checkout page will present the relevant payment options which are available to you, based on your location. Global-e, acting as the merchant of record, will use one of its third-party payment processors (including, as needed, their tools, technology or services) to process the payment. Depending on your location, payment may be made to one of the intra-group affiliates of Global-E (as listed in the preamble) and such payment will be deemed a payment to Global-e.  

The information contained in these Terms, and the data presented on the Website and checkout, serves only as an “invitation to offer”, and no commitment to sell or provide the Products is made until you receive an email explicitly stating that your Order has been accepted and confirmed ("Order Confirmation"). In any event, if, for any reason whatsoever, you are unable to pay the amounts due, the sale made on the Website will be immediately cancelled and the purchase process will be terminated.

Orders may be subject to fraud checks and other mandated regulatory checks, such as 'denied parties screening', or any other case of suspicion that the identity, address, email, or payment information provided were used fraudulently or in an unauthorized manner. In some cases, we may require you to provide additional verifications and information as a pre-condition to Order Confirmation/fulfilment.  

Your Order may be declined or cancelled, in whole or in part, before or after Order Confirmation, at our sole discretion, for reasons such as (but are not limited to): failed fraud or regulatory checks; suspected bad faith/ abnormal orders; non-consumer orders; unverifiable payment details, non-payment of the full price of the Product or Product unavailability. Certain Products may be subject to address, or other criteria, and may be declined accordingly. If fulfilment cannot be completed, you will be notified and refunded pursuant to these Terms.

An Order may also be declined or cancelled in case of actual or suspected error, whether by us, you, or any third party. This may occur where there is a clear or obvious mistake affecting key transaction terms (such as price, description, availability, or quantity) making it unreasonable or unlawful to proceed with the Order for example, as unusual low price of an item that is typically priced significantly higher, absent of a legitimate sale or promotion. This also extends if the error was exploited to purchase unusual quantity of items. In such cases, we are not obligated to process or fulfil the Order.

Whenever an Order is cancelled or declined, you will be refunded pursuant to these Terms, provided that your payment was processed successfully. We are not obligated to provide a specific reason for declining or cancelling any Order unless otherwise mandated by applicable law.  

You are advised to keep the Order Confirmation email in paper or electronic format.

4. PAYMENTS

If you used a payment method that supports pre-authorization (e.g. most credit cards), the payment amount will first be authorised and will be captured (charged) at the latest on Product dispatch. Other methods (such as PayPal or other e-wallets, if these methods are available in your country) are likely to be charged immediately upon Order Confirmation. In any case, the full amount of your Order will be charged even if the shipment is split, or for pre-orders.  The Order will appear on your transaction statement as a transaction placed with "Global-e//GIVENCHY" (or substantially similar language). We prioritize transparent communication and fair treatment in all payment-related matters. Some payment methods may offer or support different timing than as described above, and that will not be in our control.  

Your bank, card issuer, or chosen payment method may impose additional charges, fees, or surcharges (such as foreign transaction / cross border fees or such other fees), determined by your relationship with such financial institution and their policies. Global-e will not be liable for, and may not have knowledge or control over, such charges. Please check your terms of service with such financial institutions for more details.  

Global-e takes your payment security seriously and is committed to safeguarding your payment details by implementing strong security measures. Please be aware that neither Global-e nor GIVENCHY can be held liable for loss you may suffer as a consequence of a third party accessing your payment or account credentials.

Special terms pertaining to specific payment methods:

Payment by Invoice with Klarnain cooperation with Klarna and in certain jurisdictions only, you may be offered the opportunity to purchase the Product using Klarna as a payment method. The terms and conditions which will apply to payment by Invoice with Klarna can be found here:

Eligibility for use of the Klarna invoicing payment method will be determined by Klarna in their sole discretion and Global-e/GIVENCHY accept no liability in respect of your use of Klarna as a payment method.

Where you choose to purchase your Product using payment by invoice with Klarna, you will be sharing your personal data with Klarna and the terms of Klarna privacy policy shall apply to their use of your personal information. Global-e and GIVENCHY shall have no responsibility for their use of your personal data.

Klarna's Pay in 3 / Pay in 30 days are unregulated credit agreements. Borrowing more than you can afford or paying late may negatively impact your financial status and ability to obtain credit. 18+, UK residents only, subject to status, Klarna's T&Cs and late fees apply.

Cash on Delivery (“COD”) may be available in some destinations. Amounts payable through COD may be limited due to requirements of applicable laws, carriers or GIVENCHY policies. The Products will only be handed to you subject to and after you have signed the delivery note and paid the full Order amount.  

5. DUTIES AND TAXES

You may have the option to pre-pay Duties & Taxes as part of checkout. If Duties & Taxes were included in the Product price it will be clearly indicated during checkout. These options may not be available for all Products or all destinations.  

When pre-payment of Duties & Taxes is available, the Duties & Taxes amounts are calculated for each individual Order. If paid, those will be remitted to the relevant authorities on your behalf. Duties & Taxes cannot be split or combined across multiple Orders. If you make separate purchases for the same destination, you may incur additional taxes or duties upon arrival, which will be your responsibility. Neither Global-e nor GIVENCHY will be liable for these extra charges.  

If Duties & Taxes were not pre-paid on checkout, you will be responsible for paying all applicable amounts directly to the relevant authorities. If you did not pre-pay Duties & Taxes on checkout, please note that any Duties & Taxes amount which may have been shown at checkout was only an estimate, and the actual charges you incur in connection with the clearance into your destination may be higher. If you subsequently fail to pay the Duties & Taxes when required or refuse to accept a Product without following the proper cancellation procedure under these Terms, you may face additional charges. These charges could include return costs and charges, loss of your original delivery costs, and other direct or indirect costs resulting from these actions. Global-e and GIVENCHY will have no responsibility or liability in connection with these charges. Should you fail to pay such amounts, and as a result any liability falls on us, the carrier, or GIVENCHY, we may deduct these amounts from any future refunds or claims you make.

Except as required by applicable law and unless explicitly stated otherwise in Annex I below, any Duties & Taxes paid by you in connection with your Order will not be refunded by us except where such were included in the Product price. You may be eligible, and in such case solely responsible, to file a drawback claim with the relevant governmental authority.  

6. TITLE; RISK; IMPORTER OF RECORD

The contract for the sale of Products comes into effect only upon Order Confirmation and is concluded in the dispatch country (where the Products are shipped from). The title to the Products ordered transfers from Global-e to you before import and risk transfers to you upon delivery at the address specified in your Order. If you did not pre-pay Duties & Taxes, the transfer point will be at the port of entry in the import destination.

You are the 'importer of record' of the Product. We (or our agent) only facilitate the importation on your behalf, acting as your agent. In some cases, we may act as the 'declarant' solely to facilitate the customs clearance (however this does not change your status as importer).

Before ordering, you need to check the standards for using the product in your destination. Products ordered for destinations with different standards cannot be returned for this reason, and no liability will be assumed in any circumstances which may arise from purchasing Product without the correct standards for your destination. You are responsible for ensuring the Product can be lawfully imported into your destination. You must comply with all applicable laws, regulations, certifications, and rules of the import destination.

Please note that the Product and its documentation (e.g. packaging, manuals, care labels, instructions, safety warnings) may not be in your language. Manufacturer's services or parts may not be available in your location.

Global-e may use customs brokers or fiscal representatives for the purposes of clearing products into your destination on your behalf. For such purpose, Global-e or its affiliates may also serve as a ‘customs declarant’ in their own name, acting on your behalf. By agreeing to these Terms, you consent and authorize us and such parties to act on your behalf (as an agent, declarant or otherwise) to: (a) transact with relevant authorities, (b) complete, submit and execute related documents for the import and clearance of Products, (c) facilitate payment of Duties & Taxes and customs clearance; and (d) if applicable, return such Products (subject to these Terms).  

For clarity, any purchase of Products under a tax exemption (i.e. by submitting your VAT number) will still be classified by Global-e as a personal import transaction. You hereby agree and acknowledge that the Products you purchased under such exemption are for your own use and not for resale.

7. FULFILMENT, HANDLING AND DELIVERY

Your Order's delivery and fulfilment are handled by service providers, selected and managed by us or GIVENCHY (hereinafter referred to as a "Fulfillment Provider").

Some Products may not be delivered to certain locations or destinations (due to limitations imposed on the Product itself or by the destination). You will be informed of such constraints on the Website or during checkout, and you should not be able to complete an Order containing such limitations. We reserve the right, at any time, to suspend or cancel the delivery of any Product that cannot be legally delivered, even after Order Confirmation. For example, it is not possible to place an Order for any delivery address located outside the delivery area corresponding to the Order method. For reasons of security, among others, we will not process any Orders for which a post office, PO box, hotel, business address, university campus address or Cedex address is provided.

Delivery dates provided during checkout (or on the Website) are typically estimates, unless explicitly stated otherwise. Your Order will be delivered by the latest date specified at checkout based on your selected delivery method, or if no date is specified, within thirty (30) days of Order Confirmation, subject to full payment of the price. As an exception to the above, a specific delivery time may be indicated to you at the time of placing your Order for Products from future collections purchased in advance or for Products that are personalized or made to order, it being specified that this delivery time may exceed thirty (30) days from the date of the Order. Please note that delivery capabilities and timing depend on your address and chosen delivery method. Different parts of your Order may arrive on separate dates.  

Global-e and GIVENCHY and GIVENCHY’s or Global-e’s carriers have no liability for any loss arising from delay in delivery to the extent such delay is due to circumstances beyond reasonable control or where no reasonable steps could have been taken to deal with the delay. For example, delays resulting from customs clearance procedures, lockdowns or other actions of the authorities are outside Global-e’s or GIVENCHY’s and carriers’ control, as well as any delay resulting directly from your actions or omissions.

If you receive a notification of attempted delivery, it is your responsibility to contact the Fulfilment Provider using the provided details to arrange re-delivery. Efforts will be made to deliver your Product according to the Order details.

Delivery is considered complete when the Product reaches the address you specified in the Order. In cases where you failed to pay Duties & Taxes (which were not pre-paid on checkout), delivery will be considered complete on arrival of the Product to the port of entry of the destination country.

8. DOWNLOADING INVOICES

You have twelve (12) months from the date of delivery or collection of the Products to download an invoice in PDF format from your customer account, in the section “My orders”.

9. SPECIAL PROVISIONS PERTAINING TO PERSONALIZED PRODUCTS

This Article applies to any purchase of a Product which is personalized and custom-made Product, and will govern with respect to such purchases in the event of any conflict between this Article and other provisions of these Terms.

Personalized and custom-made Products are made specifically for you based on the details you provide. Please ensure all customization details are accurate when placing your Order. 

Personalized Products are non-returnable and non-refundable, unless faulty or damaged upon receipt. Once Order Confirmation is sent, you cannot change or cancel your Order. We reserve the right to refuse personalized Orders at our discretion. In cases of inappropriate use of this service, your Order will be cancelled and fully refunded or sent without personalization.

10. RETURNS POLICY

This returns policy does not apply to faulty Products or other excluded items detailed in Article 11 below.

Return requests must be made within fourteen (14) days of the date of delivery of the Products, unless otherwise required by applicable and explicitly prevailing consumer law. After this period of fourteen (14) days, you will no longer be able to exercise your right of withdrawal. If the Order covers several Products and the Products are delivered separately, the starting point for this period shall be the date of delivery of the last Product.

To return eligible Products, please follow the below instructions:  

  •    You must use the online returns portal or contact GIVENCHY Customer Service to inform us of your intent to return the Product. Link to the portal will be available on the Website or provided in the transactional emails.  

You may also, before the expiry of the fourteen (14) day withdrawal period mentioned above, use the withdrawal form at the bottom of these Terms or send any other unambiguous statement expressing your wish to withdraw to GIVENCHY Customer Service at the following email address: contact@givenchy.com

  •    You must follow the return instructions and provide the required information (e.g. proof of purchase, Order identification number and the email address used for the Order), indicate the returned items and the quantity thereof, and select the applicable return method (selection options may not always be available). You will receive a Return Product Authorization (RMA) number and a prepaid return shipment label.          

  •    Please send back the items promptly, and in any event within fourteen (14) days of communicating your cancellation. Returns are subject to quality control. Products must be returned in perfect condition, unworn, complete (boxes, accessories, protective packaging, labels, booklets, etc.) and in their original packaging. GIVENCHY recommends taking all necessary precautions to ensure their protection. Products returned incomplete, damaged, spoiled, worn out, dirty or in any other condition that would reasonably suggest that they have been used or worn will not be refunded and will be returned to you at your expense. As for shoes, the soles must also be intact. As such, it is strongly recommended that you try on GIVENCHY shoes on a carpet or rug.

  •    When a refund is approved, you will be reimbursed for the returned Products price.

  •    Original delivery costs you paid in connection with the Order will be reimbursable or refundable (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us). Duties & Taxes are typically non-refundable, for further information please see Article 5 above.  

  •    You retain sole responsibility for any loss or damage to the returned items until they are received in the returns facility. You should therefore consider using a tracked courier service and ensure adequate insurance for returned items.

  •    Refund will be made not later than fourteen (14) days from the time we received your cancellation request, however if a supplied Product has not been received back from you during such time period, refund may be delayed until such time the Product is received back, or if earlier, until the time you provide sufficient evidence that you have returned the Product.

  •    Reimbursement will typically be made through your original payment method, except for COD (cash on delivery) purchases (if available), where refunds will be processed through your bank or PayPal accounts.  For security reasons, refunds can not be made to an account or credit card other than the one used to pay for the Order.

11. LIMITATION ON RETURNS POLICY, WITHDRAWAL RIGHTS AND CANCELLATION RIGHTS

TO THE FULLEST EXTENT PERMITTED BY LAW AND NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, CERTAIN TYPES OF PRODUCT ARE NOT ELIGIBLE FOR CANCELLATION, WITHDRAW OR RETURNS, INCLUDING THE FOLLOWING: FRAGRANCES, SEALED GOODS (SUCH AS GOODS LIABLE TO DETERIORATE OR EXPIRE RAPIDLY), COLLECTIBLES, MYSTERY BOXES, SWIM WEAR OR OTHER PRODUCT WHICH ARE NOT SUITABLE FOR RETURN DUE TO HEALTH PROTECTION OR HYGIENE REASONS, IF THEY WERE SEALED AND BECOME UNSEALED AFTER DELIVERY. ADDITIONALLY, THERE IS NO RIGHT TO CANCEL, WITHDRAW FROM OR TO RETURN A PRODUCT WHICH WAS MADE TO YOUR SPECIFICATIONS OR WHICH IS CLEARLY PERSONALIZED, UNLESS THERE IS A MANUFACTURING ERROR OR PRODUCT DEFECT. WE RESERVE THE RIGHT TO REFUSE PERSONALISED ORDERS AT OUR DISCRETION. IN THE CASE OF INAPPROPRIATE USE OF THIS SERVICE, YOUR ORDER WILL BE CANCELLED AND FULLY REFUNDED OR SENT WITHOUT PERSONALISATION.

Only the buyer will be entitled to any rights of return, cancellation or withdrawal (as applicable) and a refund of applicable monies. In no event will a person who has received the Order as a gift be entitled to receive a refund.

This Article does not limit or exclude consumer guarantees or warranties which cannot be excluded under applicable consumer rights legislation explicitly prevailing the governing law hereof.

12. LIMITED WARRANTY AND FAULTY PRODUCT RETURNS

  •    If you receive a damaged or faulty Product, or if it develops a fault, you may have legal remedies available under applicable law, depending on when you notify GIVENCHY of such faults. To report an issue, you should inform GIVENCHY Customer Service as soon as possible (whose contact details are provided in Article 1 above), indicating your name, email address, delivery address, and order number or reference. This process does not affect your legal rights under applicable law.

  •    Warranty validity may vary by destination. Some locations may offer only limited warranty coverage. When valid, the warranty period is specified in the product description. Consumers in certain jurisdictions may have additional legal rights under local legislation governing consumer goods sales, including laws implementing the EU directive 2019/771. These rights are not affected by this limited warranty.

  •    Defects, faults or damage caused by accidents, the user, improper use, or normal wear and tear are not covered by the warranty.

13. LIABILITY

  •    Certain liabilities cannot be excluded under applicable law, particularly those related to personal injury, death, or fraud. These Terms do not affect your legal rights under applicable and explicitly prevailing consumer legislation, including those relating to faulty products.

  •    Subject to these exceptions, in no event will Global-e or GIVENCHY have any liability for any losses, any consequential, indirect, incidental, special, exemplary, or punitive damages whether arising out of breach of contract, tort (including negligence) or otherwise, howsoever caused including arising directly or indirectly from or in connection with these Terms. Any liability, if so exists, shall not exceed the purchase price of the relevant Product and is strictly limited to losses that were reasonably foreseeable. Losses are foreseeable where they could be contemplated by you and us at the time your Order is accepted. The liability of Global-e and GIVENCHY to you for loss or damage of any kind arising out of these Terms will be reduced or limited to the extent (if any) that you cause or contribute to the loss or damage.

  •    Global-e and GIVENCHY are not responsible for any loss or damages caused by unauthorized use of your payment card on the checkout, and Global-e and GIVENCHY are not responsible for notifying your card issuer or any law enforcement authority in these instances.

  •    Global-e and GIVENCHY will not be liable for any failure or delay in the performance of their obligations hereunder, and not be deemed to be in breach of the Terms, and will be allowed to cease performing, for so long as, and if such cessation, failure or delay directly results from an event beyond reasonable control that affects the ability to perform any obligation hereunder, including, any delay or stoppage due to strikes, lockdowns, labor disputes, acts of God, civil commotions, fire or other casualty, governmental act, action or inaction, actions or inactions of customs clearance, closure or decision of governmental offices, or other official actions, internet or other infrastructure failures, acts of war, terror or terrorism, or industry-wide disruption in the supply chain.

  •    You must allow reasonable opportunity to remedy any matter before incurring costs to remedy it yourself.

  •    We cannot guarantee uninterrupted or error-free operation of the Website or checkout. We reserve the right to suspend these services without notice for repair, maintenance, improvement or technical reasons.  

14. INTELLECTUAL PROPERTY RIGHTS

The checkout is intended solely for your personal, non-commercial use. Any other use of the checkout's material and content is strictly prohibited. You agree not to copy, reproduce, transmit, publish, display, distribute, commercially exploit, or create derivative works from the checkout's content. Furthermore, you agree not to assist or facilitate any third party in doing so.

GIVENCHY trademark, figurative or non-figurative trademarks, and, more generally, all other trademarks, illustrations, images and logos appearing on GIVENCHY Products or the Website, their accessories or their packaging, whether registered or not, are and shall remain the exclusive property of GIVENCHY. Any total or partial reproduction, modification or use of these trademarks, illustrations, images and logos, for whatever reason and on whatever medium, is strictly prohibited. The same applies to any combination or conjunction with any other trademark, symbol, logotype and more generally any distinctive sign intended to form a composite logo. These provisions also apply to all copyrights, drawings and models, and patents reproduced on the Website. The use of all or part of GIVENCHY Website, in particular by downloading, reproduction, transmission or representation for purposes other than personal and private use for non-commercial purposes is prohibited.

15. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of France.

When a specific applicable law (namely specific consumer laws in your country), explicitly prevails the laws of France, then with respect to the prevailing subject matter, the governing law of such matter will be that specific law.

If any provision of these Terms shall be held to be invalid, illegal or unenforceable, pursuant to an explicit prevailing law, that provision shall be enforced to the fullest extent permitted by the applicable prevailing law, and the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

You hereby agree to the fullest extent permitted by applicable law, that you irrevocably waive all right to trial by jury as to any issue relating hereto in any action, proceeding, or counterclaim arising out of or relating to these Terms.

You are hereby informed that in the event of a dispute arising out of or relating to these Terms, you may have a right under applicable law to file a complaint with an alternative dispute resolution institute.

To the fullest extent permitted by applicable law, any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Paris, France.

16. MISCELLANEOUS

  •    Communications will be in English and made electronically.

  •    Failure to enforce any right does not waive future enforcement. Headings are for information only and not binding. We may assign these Terms, or any part thereof, without your consent, but your rights and obligations remain unaffected. Non-parties cannot enforce these Terms unless expressly stated otherwise.

  •    Global-e and GIVENCHY reserve the right to access, read, preserve, disclose and use information related to Orders and checkout use as Global-e reasonably believes is necessary for legal compliance, Terms enforcement, addressing technical issues, responding to support requests, or protecting rights and safety. The Website and checkout may link to third-party services/websites not controlled by Global-e or GIVENCHY. Global-e and GIVENCHY are not responsible for their content or practices. You are solely responsible for using these third-party services and release Global-e and GIVENCHY from related liability. Accordingly, you are encouraged to read the terms and conditions and privacy policy of each third-party services/websites that you may choose to visit.

  •    Global-e and GIVENCHY may modify these Terms at any time, with changes effective upon posting. Your continued use indicates agreement, but changes will not affect existing Orders. These Terms constitute the entire agreement regarding Orders. If any provision is deemed invalid or unenforceable, it will be enforced to the greatest extent permitted by law, and the parties agree to its substitution by a lawful provision that gives effect to the original intent of the parties as closely as possible. The remaining provisions will remain in full force and effect.

1. EUROPEAN ECONOMIC AREA (EEA)

For consumers in the EU

  •    You may be entitled to use alternative dispute resolution (ADR) mechanisms or such other institution to which you may have a legal right to use under applicable law.

  •    You may have legal rights in relation to Products that are not as described, not of satisfactory quality, or otherwise not fit for purpose.  

For consumers in Denmark

  •    The limitation of liability under these Terms will not apply in the event of claims arising out of gross negligence or wilful misconduct.

For consumers in Sweden

  •    You may use the alternative dispute resolution process provided by the ARN (www.arn.se).

2. AUSTRALIA

  •    All terms, conditions, warranties and representations that might otherwise be granted or implied by Australian law, are hereby expressly excluded, except for any liability that cannot be excluded, restricted or modified, or which cannot be excluded, restricted or modified except to a limited extent, as between the parties by law including liability under the Competition and Consumer Act 2010 (Cth). Nothing restricts you rights under the Australian Consumer Law.

  •    If your Products fails to meet a consumer guarantee under the Australian Consumer Law, you will be entitled to a repair, replacement or refund depending on whether the defect is classified as a minor or major defect. A consumer guarantee under the Australian Consumer Law includes a guarantee that the Product is of acceptable quality, matches the description provided in the Website, is fit for purpose and meets any extra promises made about performance, condition and quality.

  •    If the defect is considered a minor failure of the Product, your Product may be repaired, replaced or you will be refunded for your purchase, as elected by us or GIVENCHY.

  •    If the defect is considered a major failure of the Products, you are entitled to reject the goods and choose a refund or replacement of the Product, or ask for compensation for any drop in value of the goods.

  •    The Article captioned “DUTIES AND TAXES”, including in relation to return costs and claiming back import charges in cases of returns or other eligible circumstances, is subject to your rights under the Australian Consumer Law (including in relation to return costs under the consumer guarantees).
